Company manager

In one sentenceThe person appointed by the partners of a limited liability company to manage it and represent it toward third parties, within the powers granted to them.

Simply put

The manager may be a partner or a non-partner, and more than one manager or a board of managers may be appointed. Their powers (signing, borrowing, contracting) are set in the company's contract or the appointment resolution, and their name appears in the commercial registration.

The manager is accountable to the partners for management errors and violations of the law or the contract. That is why banks and other bodies usually ask for proof of their powers before accepting their signature.

Example

The manager of a contracting company wanted to sign a large loan agreement, so the bank asked for the company's contract to confirm that his powers included borrowing. As they did not, he needed a resolution from the partners.

Don't confuse it with

Board of directorsThe board of directors is elected by the general assembly in a joint stock company, while the manager is appointed by the partners in a limited liability company.
